Terms of Use and End-User License Agreement
SupplyStock · Effective October 13, 2026
These terms are an agreement between you (and the organization you act for) and SUPPLY STOCK LLC (“SupplyStock,” “we,” “us”) for use of the SupplyStock website, web applications and related services (the “Service”). By using the Service you agree to these terms. If you use it for an organization, you confirm you have authority to bind that organization, and “you” includes it. If a separate written agreement with SupplyStock covers your organization, that agreement controls where it conflicts with these terms.
1. The Service and your license
SupplyStock provides supply and inventory management, ordering and replenishment, device and tag tracking, charges and invoicing, and related tools. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your organization’s internal business purposes during your subscription or relationship with us. We and our licensors retain all rights in the Service, its software, design and content; no rights are granted except those stated here.
2. Accounts and authorized users
Your organization decides who its authorized users are and what roles they hold. You are responsible for keeping credentials confidential, for activity under your accounts, and for telling us promptly of any unauthorized use. Information is limited to each user’s own organizations and roles; you must not attempt to access another organization’s data.
3. Your data
As between you and SupplyStock, your organization owns the data it submits to or generates in the Service (“Customer Data”). You grant us a license to host, process, display and transmit Customer Data as needed to provide and secure the Service and as described in our Privacy Policy. You are responsible for the accuracy and lawfulness of Customer Data and for having the rights needed to provide it.
4. Acceptable use
You will not: break the law or infringe others’ rights through the Service; interfere with or disrupt it; probe, scan or test its security without our written consent; bypass access controls; use it to send spam or malicious code; reverse engineer it except as the law allows; resell or provide it to third parties except as agreed; or access it by automated means other than interfaces we provide.
5. Third-party services and integrations
The Service can connect to third-party services such as QuickBooks Online. Connecting is optional and is done by your authorized administrator; the third party’s own terms and privacy statement apply to your use of it. Our QuickBooks integration reads customer and invoice records; it does not change your QuickBooks data. We are not responsible for third-party services, and they may change or stop working. You can disconnect an integration at any time.
6. Fees
Fees, if any, are as stated in your order or agreement with us. Unless stated otherwise, fees are non-refundable and exclusive of taxes.
7. Availability and support
We work to keep the Service available and may perform maintenance, update features, or change or retire parts of the Service. We will try to give notice of changes that materially reduce functionality you rely on.
8. Confidentiality
Each party will protect the other’s non-public information it receives through the Service with at least reasonable care and use it only to perform or use the Service, except as the law requires disclosure.
9. Disclaimers
The Service is provided “as is” and “as available.” To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that inventory counts, device reads, projections or imported accounting records will be complete or accurate; you remain responsible for business decisions made using them and for your own accounting and tax records.
10. Limitation of liability
To the fullest extent the law allows, neither party will be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, and our total liability arising from the Service will not exceed the amounts you paid us for the Service in the twelve months before the event giving rise to the claim. Nothing limits liability that cannot be limited by law.
11. Indemnity
You will defend and indemnify SupplyStock against third-party claims arising from your Customer Data or your breach of these terms, and we will give you prompt notice and reasonable cooperation.
12. Suspension and termination
You may stop using the Service at any time. We may suspend or end access if you breach these terms, if required by law, or to protect the Service or others. On termination your license ends; we will make Customer Data available for export for a reasonable period on request, and then delete or de-identify it subject to legal retention requirements. Sections that by nature should survive will survive.
13. Changes to these terms
We may update these terms. When we make a material change we will update the effective date above and, where appropriate, notify administrators. Continued use after the change means you accept it.
14. General
These terms are governed by the laws of the State of Georgia, without regard to conflict-of-law rules, and disputes will be brought in the state or federal courts located in Fulton County, Georgia. If a provision is unenforceable, the rest remains in effect. You may not assign these terms without our consent. These terms, together with any order or written agreement, are the entire agreement on this subject.
